Organisation Structure

Six functions report to the Director. Compliance sits outside the commercial chain and holds an independent escalation line to the shareholders — its veto is absolute, not a recommendation. Origination and clearance are always different people.

Compliance veto is absolute
Only a documented Director decision, recorded in the override register, can overrule it — and the record is permanent.
Four eyes on every payment
Initiator and approver are always different people; bank details are verified through an independent channel before first payment.
One signatory
No employee may sign, bind or issue a mandate. Term sheets are marked non-binding without exception.
No movement before clearance
Compliance clearance and financing confirmation are both conditions precedent to any physical movement.
